Terms of Service
Please read the terms of service below carefully. Using the site constitutes full acceptance of all of them.
Introduction
Welcome to MedNux (the "Site"), the global marketplace and network for medical equipment and devices. The Site serves as an e-commerce and professional networking platform that enables manufacturers, importers, authorized distributors and specialized suppliers (the "Suppliers") to offer medical devices, equipment, instruments and consumables to healthcare organizations and professionals.
These terms constitute the legal basis for browsing and ordering on the Site, and they alone govern the relationship between the Site and any visitor using it and/or ordering through it (the "User" or the "Customer").
1. General provisions and definitions
1.1. Using the Site, including browsing and/or purchasing products or booking services, constitutes confirmation that the User has read these terms and agrees to them fully and unconditionally. The User declares that neither they nor anyone acting on their behalf will have any claim or demand against the Site or its operators, other than claims relating to a breach by the Site of its obligations under these terms.
1.2. The Site reserves the right to amend these terms from time to time at its sole discretion, without prior notice. Any such amendment takes effect upon publication on the Site.
1.3. Any wording in the singular or masculine form is used for convenience only and refers equally to all genders and to companies and individuals alike.
1.4. Chapter headings are provided for convenience and navigation only and shall not be used to interpret these terms.
1.5. In the event of any conflict or inconsistency between these terms and any other publication, these terms shall prevail in all respects.
2. Eligibility to use the Site
2.1. Any user may use the Site and place orders, subject to meeting the cumulative conditions set out below:
- The User is legally competent to perform binding legal actions. If you are under 18 or are otherwise unable to perform legal actions without a guardian's approval, your use of the Site will be treated as having received that approval.
- The User holds a valid identity document, or is a company duly incorporated and registered.
- The User holds a valid payment card, issued by a recognized credit or payment provider.
- The User holds an active email account.
- For regulated medical devices, the User holds any licence, authorization or institutional approval required in their jurisdiction for the purchase, import, storage or use of the device.
2.2. The Site may prevent a user from making any use of the Site wherever that user has committed an unlawful act, breached these terms, provided false details, or performed an act or omission that harms the Site or its proper operation.
3. The services offered on the Site
The Site offers a range of platforms and services:
๐งช Laboratory, cleanroom and workspace bookings
The Site allows companies and research teams to book laboratories, cleanrooms, offices, workstations and meeting rooms on an hourly or daily basis. MedNux acts solely as an intermediary between the booker and the facility operator. Responsibility for the condition of the facility, its availability and the service actually provided lies with the operator alone.
๐ Medical device and equipment marketplace
An e-commerce platform for purchasing medical devices, equipment, instruments, consumables and accessories. Products are supplied by external suppliers (marketplace model), and responsibility for product quality, conformity, shipping and manufacturer warranty lies with them, in line with the applicable regulatory approvals.
๐ซ Conferences, courses and trade shows
A registration system for medical conferences, professional courses, exhibitions and training events. The Site does not produce the events and is not responsible for changes of date, cancellations or the content of an event.
๐๏ธ Member benefits and vouchers
Purchase of vouchers and coupons redeemable with partner businesses. The coupon serves as proof of payment. Redemption is subject to the specific terms printed on it and shown on the sale page.
4. Payment and pricing policy
4.1. Prices displayed on the Site include VAT as required by law, unless explicitly stated otherwise.
4.2. The Site may change product prices and handling or shipping fees from time to time. The price applicable to a completed order is the price published at the time the order process was completed.
4.3. Payment is made by credit card, PayPal or bank transfer, subject to approval by the card company or the payment provider.
4.4. Credit card details are not stored in the Site's databases. They are transferred directly to the approved clearing company, certified to the strict PCI-DSS standard.
5. Cancellation and return policy
โ ๏ธ Important notice to buyers:
Cancellation of a transaction is carried out in accordance with the Consumer Protection Law, 5741-1981 (the "Law") and the regulations enacted under it.
5.1. Cancellation of a product purchase:
The Customer may cancel a transaction from the date of the transaction up to 14 days from the date the product was received or the date the disclosure document was received, whichever is later. Cancellation must be given in writing to the Site. Where the cancellation follows a defect, no cancellation fee will be charged. Where the cancellation does not follow a defect, a cancellation fee of 5% of the transaction price or $100, whichever is lower, will be charged. The Customer must return the product in its original packaging, complete and unused.
5.1.1 Return policy for products purchased on the marketplace
The returns and exchanges policy for products purchased on the Site's marketplace applies in addition to the provisions of the Consumer Protection Law and is set out below. These conditions match the return policy definitions published in Google Shopping:
- 1Right of return: defective products as well as non-defective products may be returned. Product exchanges may also be requested.
- 2Product condition: products may only be returned in new condition, meaning the product was unused, in its original packaging, complete and without defects.
- 3Return window: a return may be made within 4 days of receiving the product.
- 4Return methods: the product may be returned in one of the following ways - return at a designated drop-off point, or return by post.
- 5Return label cost: the return label (the cost of shipping the item back) is the Customer's responsibility and is not included in the product price.
- 6Restocking fee: returning a non-defective product incurs a restocking fee of 9% of the product price. This fee is deducted from the refund amount.
- 7Refund processing time: the refund is processed within 45 days of receiving the returned product and confirming that it meets the return conditions. The refund is issued to the payment method used for the original purchase.
Note: this policy applies only to products purchased on the marketplace. Returning defective products does not involve a restocking fee or return shipping cost, in accordance with the Consumer Protection Law. For hygiene, safety and regulatory reasons, sterile or single-use items and devices that have been opened, installed or used cannot be returned once unsealed.
5.2. Cancellation of laboratory and workspace bookings:
Cancellation of a laboratory, cleanroom or workspace booking may be made within 14 days of the booking, provided at least 7 business days remain before the booking date. In that case the Customer is charged $100 or 5% of the transaction value, whichever is lower. A later cancellation is charged in full, or according to the specific facility's policy as presented at the time of booking.
5.3. Cancellation of conference and course registrations:
Registration for conferences, courses and trade shows may be cancelled within 14 days of the transaction, provided the cancellation is made at least 7 non-rest days before the event date.
6. Limitation of liability
6.1. The Site operates as an online platform connecting suppliers and manufacturers with healthcare buyers. The Site is not the manufacturer of the products and is not the actual provider of the services, unless explicitly stated otherwise.
6.2. Sole responsibility for the products, their supply, quality, conformity, fitness for purpose, performance and regulatory approval (including CE marking, FDA clearance, local health-registry registration and labelling) lies with the Suppliers and manufacturers, in accordance with the warranty documentation and regulatory certificates attached to each product.
6.3. Medical devices must be selected, installed, operated and maintained by qualified professionals, and used strictly in accordance with the manufacturer's instructions for use. Nothing published on the Site constitutes medical, clinical or regulatory advice, and it does not replace professional judgement.
6.4. Product images on the Site are for illustration only and differences may exist between the images and the products actually supplied.
6.5. The Site shall not be liable for any damage, direct or indirect, caused to the User as a result of using the Site, including damage from viruses, software faults or internet disruptions.
6.6. The Site makes every effort to keep its operations running, but does not undertake that the service will be uninterrupted, provided in order and without interruption, secure and error-free.
7. Privacy and information security
7.1. The Site takes customary precautions in order to preserve, as far as possible, the confidentiality of information. Data transmitted on the Site is encrypted using the SSL protocol.
7.2. The Site undertakes not to use registered customers' details other than for operating the Site, enabling an order to be completed, and passing the relevant information to the Suppliers required to fulfil the transaction.
7.3. The User agrees that the Site may from time to time send them email, SMS or messages through any other communication channel containing marketing and promotional information. The User may request removal from the mailing list at any time.
7.4. The Site uses cookies for its ongoing and proper operation, including to collect statistical data about use of the Site, to verify details, and to adapt the Site to your personal preferences.
8. Intellectual property
8.1. All intellectual property rights in the Site, including patents, copyrights, designs, methods and trade secrets, are the exclusive property of the Site. These rights apply, among other things, to the Site's graphic design, its databases (including product listings, product descriptions and technical specifications), the Site's computer code and any other element relating to its operation.
8.2. No information from the Site may be copied, reproduced, distributed, sold, marketed or translated (including trademarks, images, texts and computer code) without the Site's express prior written permission.
9. Protection against unauthorized commitments
An important clause protecting the Site and its users:
The Site declares that no employee, external contractor, agent, partner or any other party connected to the Site is authorized to commit on behalf of the Site or to make promises on its behalf, unless they have received explicit written authorization from the Site's management.
9.1. Prohibited commitments
In particular, and without derogating from the generality of the above, the Site is not responsible for and does not stand behind any promise or commitment made without express authorization, including:
- Commitments about search engine placement - specific ranking, position or visibility on Google or other search engines.
- Commitments about business results - sales volumes, orders, leads or any other quantitative outcome.
- Commitments about site traffic - numbers of visitors, views or specific exposure.
- Commitments about promotion on external channels - publication on social networks, media or other platforms not approved in writing in advance.
- Commitments about additional services - any service not expressly stated in the official agreement or terms of service.
- Special prices or terms - that do not officially appear on the Site or in a signed agreement.
9.2. Validity of commitments
A commitment is considered valid and binding on the Site only if:
- It was given in writing and signed by an authorized manager of the Site.
- It was sent to the customer officially through an official email address or an official document.
- It contains clear references and official order numbers.
9.3. User responsibility
A user relying on a commitment given unlawfully or without express authorization does so at their own sole risk. The Site shall not be liable for any damage, loss or disappointment arising from such commitments.
